Please read these Terms of Use (the \u00ab\u00a0Terms<\/strong>\u00a0\u00bb) carefully. They govern your access to and use of the ActuMates platform (the \u00ab\u00a0Plateform<\/strong>\u00a0\u00bb), available at actumates.ca<\/a>. 1. SUBSCRIPTION <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

1.1 Limited License<\/strong>. Subject to your strict compliance with these Terms, including payment of applicable fees, we grant you a personal, limited, and non-transferable license and right solely to access and use the study materials (the \u201cMaterials<\/strong>\u201d) via our Platform for private study purposes<\/u><\/strong> during the term of your subscription, for the sole purpose of facilitating your preparation for the advanced exams of the Canadian Institute of Actuaries.<\/p>

Important Notice<\/strong><\/p>

The Materials are intended as a study supplement and do not replace the required texts and readings of the Canadian Institute of Actuaries curriculum. It is your responsibility to consult all resources required for your exam preparation. Any use of the Materials other than to facilitate your personal preparation for these exams, or that extends beyond the duration of your subscription or the terms set forth in these Terms, is strictly prohibited<\/u><\/strong>.<\/p>

1.2\tTerm.<\/strong> Once payment of the applicable fees has been made, we will grant you access to the Platform and the Materials for a period of 6 months, unless we terminate your subscription early due to a breach of these Terms or applicable laws, including in the event of fraudulent or abusive use of the Platform. Once your subscription expires or is terminated, you will no longer have access to the Platform and the Materials, and you will no longer have the right to use them.<\/p>

1.3\tPayment; Refund<\/strong>. The purchase price is the amount displayed in your order summary. Unless otherwise specified, the prices listed on the Platform do not include applicable federal or provincial sales taxes; applicable taxes will be listed separately in your order summary. Unless otherwise specified, all prices displayed on the Platform are in Canadian dollars. To the fullest extent permitted by law and unless otherwise specified in these Terms, all purchases are final and non-refundable.<\/p>

1.4 Payment Terms<\/strong>. We will require full payment for your subscription upon acceptance of your order summary. To complete your payment, you must enter your payment information in the order form. When you choose to pay via our third-party provider\u2019s (Helcim) online payment solutions, you will be redirected to their external transaction platform. In that case, you will be subject to the terms of use of the applicable external platform.<\/p>

1.5\tPromotional Offers<\/strong>. If the subscription is part of a promotional offer, it will be subject to the Terms of that offer, including any usage limits, if applicable.<\/p>

1.6\tPricing Errors<\/strong>. Although we strive to ensure the accuracy of the prices displayed on the Platform, errors may occur. If we discover an error in the price of your subscription after you have placed your order, we will notify you as soon as possible and give you the option to confirm your order at the corrected price or to cancel it. If we are unable to contact you within five business days, we will cancel the order and refund the total amount paid for it.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

2. USER ACCOUNT <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

2.1 Creating an Account<\/strong>. The Platform requires you to create a user account. You must choose a unique username and a secure password, then complete the registration form.<\/p>

2.2\tAccount Responsibility<\/strong>. You are solely responsible for maintaining the confidentiality of your password and account. Furthermore, you are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.<\/p>

2.3\tAccount Security<\/strong>. Although we use commercially reasonable security measures to protect your account data, we cannot guarantee that unauthorized third parties will never succeed in circumventing the Platform\u2019s security measures, misappropriating, or misusing your data.<\/p>

2.4\tLiability for Account Misuse<\/strong>. To the fullest extent permitted by law, we are not liable for any losses, including the loss of data associated with your account, that you may incur as a result of a third party\u2019s use of your password or account\u2014whether or not you were aware of such use\u2014unless such loss results from our breach of our obligations under these Terms or applicable laws. You may be held liable for any losses that we or any other user of the Platform may incur as a result of any use of your account that is not authorized by these Terms or applicable laws.<\/p>

2.5\tUse of Other Accounts<\/strong>. You may not at any time use another person\u2019s account, except with the account holder\u2019s authorization as a duly authorized agent.<\/p>

2.6\tAccount Deletion<\/strong>. We reserve the right to delete any account that has been inactive for a period of 24 months or more.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

3.\tUSE OF THE PLATFORM <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

3.1 Restrictions<\/strong>. You may not, directly or indirectly: (i) copy, reproduce, modify, or create derivative works of the Platform and the Materials, in whole or in part, in any form whatsoever; (ii) rent, lend, sell, sublicense, assign, distribute, publish, transfer, or make the Platform or the Materials available to third parties in any form whatsoever; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or access the source code of the Platform, in whole or in part; (iv) remove any proprietary notices from the Platform or the Materials; (v) use the Platform as part of a service bureau, on a timesharing basis, or for the benefit of third parties; (vi) use the Platform or the Materials in violation of applicable laws or regulations; (vii) provide passwords or other login information for the Platform to unauthorized third parties; (viii) share any features, data, or content of the Platform (including the Materials) with unauthorized third parties; (ix) probe, scan, test for vulnerabilities, or circumvent any security mechanisms used by the websites, servers, or networks connected to the Platform; (x) take any action that imposes an unreasonable or disproportionate burden on the websites, servers, or networks connected to the Platform; (xi) access (or attempt to access) or use the data of other authorized users via the Platform without authorization; (xii) knowingly impair or interfere with access to the Platform; (xiii) access or use the Platform to create a similar or competing platform or service; (xiv) use data available or accessible through the Platform, including third-party personal information, without authorization or in violation of these Terms or applicable laws; (xv) use the Platform and the Materials for commercial, professional, institutional, or corporate purposes without our prior written authorization; (xvi) use the Platform and the Materials beyond the term of your subscription; or (xvii) use the Materials to teach, train, or instruct any other person.<\/p>

3.2\tSuspension of the Platform<\/strong>. Notwithstanding any provision to the contrary herein, we may temporarily suspend your access to all or part of the Platform if we reasonably determine that: (i) there is a threat or attack against any part of the Platform; or (ii) updates or scheduled maintenance are necessary (each a \u201cSuspension\u201d). We will endeavor, to the extent possible, to notify you in writing of any Suspension and to provide you with updates regarding the restoration of access to the Platform. We will use commercially reasonable efforts to promptly restore access to the Platform once the event causing the Suspension has been resolved. To the fullest extent permitted by law, we will not be liable for any damages, liabilities, losses (including any loss of profits), or other consequences you may incur as a result of a Suspension.<\/p>

3.3 Security Measures<\/strong>. The Platform may contain technological protection measures designed to prevent unauthorized use, including use that (i) exceeds the scope of the rights granted under Section 1; or (ii) is prohibited under Section 3. You must not, and must not attempt to, remove, disable, circumvent, or otherwise implement a workaround for these protective measures.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

5.1 Netiquette<\/strong>. All users must treat us (including our staff and other representatives) with respect and courtesy. Behavior such as harassment and profanity will not be tolerated. You acknowledge and agree that there may be a delay in responding to your requests, particularly outside of business hours, and that information may need to be obtained from another member of our team, which may require additional time to respond.<\/p>

5.2\tComplaints<\/strong>. Through the Platform, you may use and\/or access content provided by third parties. We assume no liability in connection with your access to such third-party content. 6.1\tPlatform<\/strong>. You acknowledge and agree that you are granted only the right to access and use the Platform and the Materials strictly for the purposes set forth in Section 1 above, in accordance with these Terms. Except for this limited right, you do not acquire any rights, title, or interest in or to the Platform or the Materials hereunder. Between the parties, we retain all rights, titles, and interests in and to the Platform, the Materials, and any other content we may provide to you from time to time (e.g., user instructions and \u201cFrequently Asked Questions\u201d (\u201cFAQs\u201d)), including the related intellectual property rights.<\/p>

6.2 Trademarks<\/strong>. All Trademarks, domain names, logos, trade names, and other designations relating to us, the Platform, or the Materials (collectively, the \u201cTrademarks<\/strong>\u201d) are, as between us, our exclusive property. All other Trademarks, domain names, logos, trade names, and other designations are the property of their respective owners. You agree: (i) not to use the Trademarks; (ii) not to harm or adversely affect, in any way, directly or indirectly, the image, goodwill, and reputation we enjoy, including in connection with the Trademarks; (iii) not to use the Trademarks to promote your services (to the extent applicable) without our prior written consent (which may be withheld in our sole and absolute discretion); and (iv) not to use or apply to register a trademark, domain name, or any other designation that is similar to or likely to cause confusion with our Trademarks.<\/p>

6.3\tComments<\/strong>. If you send or transmit to us any communications or materials suggesting or recommending changes to the Platform or the Materials, including, without limitation, new features or functionality related thereto, or comments, questions, suggestions, or the like (collectively, \u201cComments<\/strong>\u201d), we shall have the right (but not the obligation) to use such Comments. You hereby agree to assign to us, on your own behalf, all rights, title, and interest that you hold or may hold in and to the Comments, effective as of their creation. You also waive all moral rights you hold or may hold in the Comments. Without limiting the foregoing, you hereby consent, free of charge, to our use of your Comments for any purpose whatsoever, without any limitation, compensation, or restriction. We do not guarantee that the materials or information posted on the platform will be complete, accurate, or free from errors, omissions, or inaccuracies. Hyperlinks to External Sites do not imply that we approve or endorse these External Sites. You acknowledge and agree that you assume all risks arising from your use of External Sites. 11.1\tEntire Agreement; Amendments<\/strong>. These Terms constitute the entire agreement between us regarding your use of the Platform and the Materials and supersede all prior agreements, understandings, representations, and arrangements, whether oral or written. We reserve the right to revise and modify these Terms at any time; you will be subject to the Terms in effect at the time you use the Platform and the Materials, unless a change to these Terms is required by law or by the relevant regulatory authorities, in which case the change will take effect as provided by law or by the relevant regulatory authorities.<\/p>

11.2 Export Controls and Sanctions<\/strong>. Access to the Platform and its Materials may be subject to the export control and economic sanctions laws of Canada, the United States, and other jurisdictions (the \u201cControl Laws\u201d). You agree not to use, export, or transfer the Platform, the Materials, or any related services in violation of the Control Laws. You represent that you are not located in a country subject to an embargo nor are you listed on any sanctions list. We may suspend your access if we believe it violates the Control Laws.<\/p>

11.3 Survival of Provisions<\/strong>. Provisions that, by their nature, are intended to survive the expiration or termination of these Terms shall survive such expiration or termination, including provisions relating to intellectual property, disclaimers\/no warranties, and indemnification.<\/p>

11.4\tAssignment<\/strong>. You may not assign or transfer these Terms or any rights or obligations hereunder.<\/p>

11.5\tNotices<\/strong>. We may provide you with any notices (including service of process) required by these Terms or by law, and by any legal means, including posting notices on the Platform or sending notices to any email address you provide to us when creating and\/or setting up your account on the Platform or that you provide in connection with any other direct interaction with us or the Platform. You agree to send us notices and\/or view them by sending them to contact@actumates.ca<\/a><\/p>

11.6\tWaiver; Severability<\/strong>. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If a court of competent jurisdiction determines that any provision of the Terms, in whole or in part, is void, invalid, illegal, or unenforceable, such determination shall not affect the other provisions of the Terms, each of which is separate and severable.<\/p>

11.7 Force Majeure<\/strong>. Except for payment obligations, each party shall be relieved of its obligations to the extent and for the period that it is unable or prevented from performing such obligations due to circumstances beyond its control and shall not be liable to the other party for any damages incurred.<\/p>
